Terms of Engagement
Overview
These Terms of Engagement describe how VRS structures and governs its client relationships. All engagements are subject to a formal written agreement executed by both parties prior to any work commencing. In the event of a conflict between these terms and a signed engagement agreement, the signed agreement governs.
Engagement Structure
Every VRS engagement begins with an initial consultation to assess the vendor situation, identify scope, and determine whether an engagement is appropriate. If both parties wish to proceed, a written engagement agreement is prepared specifying scope of work, deliverables, timelines, fees, and any applicable limitations.
Engagements may be structured on a project basis (for a defined dispute or audit) or on an ongoing retainer basis (for continuous monitoring and escalation support). The structure is determined based on the nature and scope of the client's operational need.
Scope of Services
VRS provides operational advisory and vendor escalation services. This includes vendor communication, escalation management, SLA enforcement support, billing dispute documentation, and related operational coordination. All services are delivered as described in the applicable engagement agreement.
VRS does not provide legal counsel, legal representation, or legal advice of any kind. Nothing in VRS's communications, deliverables, or recommendations constitutes legal advice. Where a matter requires legal expertise, VRS will advise the client to seek qualified legal counsel.
Client Responsibilities
Effective engagement requires the client to provide timely access to relevant documentation, communications, and context. This includes vendor contracts, invoices, correspondence, and any prior dispute history. The client retains full decision-making authority throughout the engagement and is responsible for approving any significant actions before they are taken on their behalf.
Outcomes and Limitations
VRS applies structured methodology and professional expertise to pursue resolution. However, outcomes depend on factors outside VRS's control — including vendor responsiveness, the terms of existing contracts, and the nature of the dispute. No specific resolution outcome, financial recovery, or vendor response is guaranteed.
VRS will provide transparent reporting throughout the engagement and will communicate honestly when resolution paths are limited or exhausted.
Fees and Payment
Fee structures vary by engagement type and scope and are defined in the written engagement agreement. Fees may be structured as flat project fees, monthly retainers, or a combination of both. Payment terms are outlined in the engagement agreement and are due as specified therein.
Termination
Either party may terminate an engagement in accordance with the terms of the signed engagement agreement. Upon termination, VRS will provide a final summary of work completed, outstanding items, and any relevant documentation to ensure a clean transition.
Governing Law
These terms and any engagement agreements are governed by applicable law as specified in the signed engagement agreement. Any disputes arising from an engagement will be resolved as described therein.
